TERMS OF SERVICE

1. ACCEPTANCE OF TERMS

By accessing or using Agen0's AI-powered marketing automation platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you may not use our Service.

Agen0 is a SaaS platform that provides AI agents for automated content creation, social media management, and marketing workflows. By creating an account, you represent that you are at least 18 years of age and have the authority to enter into this agreement.

 

2. SERVICE DESCRIPTION

Agen0 provides:

  • AI-powered content generation (text, images, videos)

  • Automated social media posting and management

  • Marketing workflow automation

  • Analytics and performance tracking

  • Multi-channel campaign management

Service features, availability, and capabilities may be modified, updated, or discontinued at our discretion with reasonable notice to active users.

 

3. ACCOUNT REGISTRATION & RESPONSIBILITIES

You agree to:

  • Provide accurate, current, and complete information during registration

  • Maintain the security and confidentiality of your account credentials

  • Notify us immediately of any unauthorized access or security breaches

  • Be responsible for all activities that occur under your account

  • Use the Service in compliance with all applicable laws and regulations

Account Restrictions:

  • One account per business entity or individual unless approved for enterprise usage

  • Accounts are non-transferable

  • We reserve the right to suspend or terminate accounts that violate these Terms

 

4. ACCEPTABLE USE POLICY

You may NOT use Agen0 to:

  • Create, distribute, or promote illegal, harmful, abusive, threatening, or harassing content

  • Generate content that violates intellectual property rights, privacy rights, or other legal rights of third parties

  • Create deepfakes, misleading media, or deceptive content intended to defraud or misrepresent

  • Produce spam, malware, phishing attempts, or other malicious content

  • Generate content that promotes violence, hatred, discrimination, or illegal activities

  • Impersonate real individuals (living or deceased) without proper authorization, particularly public figures or celebrities

  • Infringe on copyrights, trademarks, or other intellectual property rights

  • Violate platform-specific content policies of social media channels where content will be distributed

  • Reverse engineer, decompile, or attempt to extract source code from our platform

  • Use automated systems to abuse, overload, or disrupt the Service

  • Resell, sublicense, or redistribute the Service without written authorization

Celebrity and Public Figure Content: While our Service provides you with tools to create various types of content, we strongly advise against creating commercial content featuring celebrities, public figures, or other individuals without their explicit consent. Even though you have usage rights to content generated through our platform, you are solely responsible for ensuring compliance with publicity rights, privacy laws, and other applicable regulations.

 

5. USER-GENERATED CONTENT & INTELLECTUAL PROPERTY

 

5.1 Your Content Ownership & Commercial Rights

YOU RETAIN FULL OWNERSHIP AND COMMERCIAL RIGHTS to all content generated through Agen0's platform, including:

  • AI-generated text, images, and videos

  • Social media posts and campaigns

  • Marketing materials and assets

  • Any derivative works created using our Service

You have the unrestricted right to use, modify, distribute, and monetize this content for your business purposes, marketing campaigns, and commercial projects.

 

5.2 License to Agen0

By using our Service, you grant Agen0 a limited, non-exclusive, worldwide license to:

  • Process, store, and display your inputs and generated content solely to provide the Service

  • Use aggregated, anonymized data to improve our AI models and service quality

  • Display examples of generated content in marketing materials (with your explicit permission only)

We will NEVER sell your content or use it for purposes outside of service delivery without your consent.

 

5.3 Your Content Inputs

You represent and warrant that:

  • You own or have proper rights to all content, prompts, images, and materials you submit

  • Your inputs do not infringe on third-party intellectual property rights

  • You have obtained necessary permissions for any reference images or materials

 

6. CRITICAL LIMITATION OF LIABILITY FOR USER-GENERATED CONTENT

 

6.1 Your Sole Responsibility

IMPORTANT: YOU ARE 100% RESPONSIBLE FOR ALL CONTENT GENERATED USING AGEN0.

This includes responsibility for:

  • Legal compliance with copyright, trademark, and intellectual property laws

  • Adherence to publicity rights and privacy regulations

  • Compliance with advertising standards and FTC guidelines

  • Platform-specific content policies on social media channels

  • Accuracy, truthfulness, and appropriateness of generated content

  • Any claims, damages, or legal actions arising from your use of generated content

 

6.2 Agen0's Disclaimer

AGEN0 EXPLICITLY DISCLAIMS ALL RESPONSIBILITY AND LIABILITY FOR:

  • How you use, modify, or distribute content generated through our platform

  • Any legal violations, infringements, or claims arising from your content

  • Consequences of posting AI-generated content on third-party platforms

  • Business outcomes, performance results, or ROI from using our Service

  • Content accuracy, suitability, or fitness for any particular purpose

 

6.3 No Content Moderation Obligation

While we may implement automated safety filters, Agen0 has NO OBLIGATION to:

  • Monitor, review, or approve content generated by users

  • Prevent creation of potentially problematic content

  • Verify compliance with third-party platform policies

  • Ensure content meets advertising or marketing standards

You acknowledge that AI-generated content may contain errors, biases, inaccuracies, or inappropriate material that requires your review and judgment before use.

 

7. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Agen0, its affiliates, officers, directors, employees, contractors, and agents from any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including attorney's fees) arising from:

  • Your use or misuse of the Service

  • Content you generate, publish, or distribute using our platform

  • Your violation of these Terms or any applicable laws

  • Infringement of any intellectual property, privacy, publicity, or other rights of third parties

  • Any false, misleading, or deceptive content you create or distribute

  • Claims by third parties arising from your generated content

  • Your breach of representations and warranties made herein

 

8. PRICING, PAYMENTS & REFUNDS

 

8.1 Subscription Plans

Pricing details are available at www.agen0.com/pricing. Plans include:

  • Creator Plan: $97/month with specified usage limits

  • Business Plan: $1,499/month with enhanced features and limits

  • Enterprise Plan: Custom pricing for unlimited usage and dedicated support

 

8.2 Usage-Based Pricing

Additional usage beyond plan limits can be purchased at incremental rates. Overage charges will be billed in arrears according to your plan's multiplier structure.

 

8.3 Payment Terms

  • All payments are processed through secure third-party payment processors (Stripe)

  • Subscriptions auto-renew unless canceled at least 24 hours before renewal date

  • You authorize us to charge your payment method for all applicable fees

  • Failure to pay may result in service suspension or termination

 

8.4 Refund Policy

  • 7-Day Money-Back Guarantee: New users may request a full refund within 7 days of initial purchase if they have used less than 20% of their plan's usage limits

  • Pro-rated Refunds: Not available for mid-cycle cancellations; service continues until end of current billing period

  • Enterprise Plans: Subject to negotiated refund terms in service agreements

  • Credits Lost on Termination: Unused credits are forfeited upon account cancellation or termination

 

8.5 Price Changes

We reserve the right to modify pricing with 30 days' advance notice to existing subscribers. Continued use after price changes constitutes acceptance of new rates.

 

9. INTELLECTUAL PROPERTY RIGHTS

 

9.1 Agen0 Platform

All rights, title, and interest in the Agen0 platform, including:

  • Software, algorithms, and AI models

  • Website design, branding, and user interface

  • Proprietary technology and trade secrets

  • Documentation and training materials

...remain the exclusive property of Agen0 and are protected by copyright, trademark, patent, and other intellectual property laws.

 

9.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms. This license does not permit you to:

  • Copy, modify, or create derivative works of the platform itself

  • Reverse engineer or attempt to extract source code

  • Remove or alter any proprietary notices or branding

 

10. AI-GENERATED CONTENT DISCLAIMERS

 

10.1 No Guarantees on Output Quality

Agen0 makes NO WARRANTIES regarding:

  • Accuracy, completeness, or reliability of AI-generated content

  • Quality, originality, or uniqueness of outputs

  • Suitability for any particular business purpose or marketing campaign

  • Freedom from errors, artifacts, or technical issues

  • Performance metrics, engagement rates, or business results

 

10.2 AI Limitations

You acknowledge that:

  • AI models may produce biased, inaccurate, or inappropriate content

  • Similar prompts may generate similar outputs for different users

  • Generated content may require significant editing and human oversight

  • AI-generated images and videos may contain artifacts or anomalies

  • Content may not perfectly match your brand voice or marketing objectives

 

10.3 Platform-Specific Risks

You understand that:

  • Social media platforms may flag or remove AI-generated content

  • Third-party platforms may update their AI content policies without notice

  • Some platforms require disclosure of AI-generated content

  • Platform algorithms may deprioritize automated or synthetic content

 

11. DATA PRIVACY & SECURITY

 

11.1 Data Collection

We collect and process personal information as described in our Privacy Policy, including:

  • Account information and billing details

  • Usage data and generated content

  • Analytics and performance metrics

  • Device information and IP addresses

 

11.2 Data Security

We implement industry-standard security measures, but cannot guarantee absolute security. You acknowledge that:

  • No internet transmission is 100% secure

  • We are not liable for unauthorized access resulting from circumstances beyond our reasonable control

  • You should not submit highly sensitive or confidential information through the Service

 

11.3 Data Retention

  • Active account data is retained for the duration of your subscription

  • Deleted accounts may have data retained for up to 90 days for backup purposes

  • Generated content may be deleted after account termination

  • We reserve the right to retain anonymized data for analytics and model improvement

 

12. THIRD-PARTY INTEGRATIONS & SERVICES

 

12.1 Social Media Platforms

Agen0 integrates with third-party platforms (LinkedIn, Twitter/X, Facebook, Instagram, TikTok, etc.). You acknowledge that:

  • Each platform has its own Terms of Service and content policies

  • We are not responsible for platform changes, outages, or policy updates

  • Your use of these integrations is subject to their respective terms

  • Platform API access may be modified or revoked at any time

 

12.2 Payment Processors

Payments are processed through Stripe. Your payment information is subject to Stripe's terms and privacy policies. We do not store full credit card information on our servers.

 

12.3 No Liability for Third Parties

Agen0 is not liable for:

  • Actions, failures, or policies of third-party services

  • Data breaches or security incidents at integrated platforms

  • Changes to third-party APIs or features

  • Loss of functionality due to third-party decisions

 

13. SERVICE AVAILABILITY & SUPPORT

 

13.1 "AS IS" Provision

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND.

We do not guarantee:

  • Uninterrupted or error-free service

  • Specific uptime percentages (unless specified in Enterprise SLA)

  • Compatibility with all devices or browsers

  • Resolution of all technical issues or bugs

 

13.2 Support

  • Creator Plan: Email support during business hours (48-hour response target)

  • Business Plan: Priority email support (24-hour response target)

  • Enterprise Plan: Dedicated account manager and phone support

 

13.3 Scheduled Maintenance

We reserve the right to perform scheduled maintenance with advance notice. Emergency maintenance may occur without prior warning.

 

14. LIMITATION OF LIABILITY

 

14.1 Maximum Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGEN0'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO AGEN0 IN THE 12 MONTHS PRECEDING THE CLAIM.

For free trial users or users who have not paid fees, maximum liability is limited to $100 USD.

 

14.2 Excluded Damages

IN NO EVENT SHALL AGEN0 BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages

  • Lost profits, revenue, business opportunities, or goodwill

  • Data loss, corruption, or breach

  • Service interruptions, downtime, or unavailability

  • Third-party claims arising from your use of generated content

  • Costs of procurement of substitute services

  • Any damages arising from your reliance on AI-generated content

 

14.3 Exceptions

These limitations do not apply to:

  • Death or personal injury caused by our gross negligence

  • Fraud or fraudulent misrepresentation

  • Liabilities that cannot be excluded by applicable law

 

15. TERMINATION

 

15.1 Termination by You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.

 

15.2 Termination by Agen0

We may suspend or terminate your account immediately without notice if:

  • You violate these Terms or our Acceptable Use Policy

  • You engage in fraudulent, abusive, or illegal activity

  • Your account poses security risks to our platform or other users

  • You fail to pay fees when due (after 15-day grace period)

  • You repeatedly generate prohibited content despite warnings

 

15.3 Effects of Termination

Upon termination:

  • Your access to the Service is immediately revoked

  • Unused credits and prepaid fees are forfeited (no refunds)

  • Generated content may be deleted after 30 days (download before termination)

  • Outstanding payment obligations remain in effect

  • You must cease all use of Agen0 branding and platform materials

 

15.4 Survival

Sections related to indemnification, limitation of liability, intellectual property, and dispute resolution survive termination.

 

16. DISPUTE RESOLUTION

 

16.1 Governing Law

These Terms are governed by the laws of [Your Jurisdiction - specify Delaware, California, etc.], without regard to conflict of law principles.

 

16.2 Informal Resolution

Before filing any legal claim, you agree to contact us at info.agen0@gmail.com to attempt informal resolution for at least 30 days.

 

16.3 Binding Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration will be conducted in [Your Location].

CLASS ACTION WAIVER: You agree to bring claims only in your individual capacity and not as part of any class or representative action.

 

16.4 Exceptions

Small claims court jurisdiction and injunctive relief for intellectual property violations are exempted from arbitration requirements.

 

17. MODIFICATIONS TO TERMS

We reserve the right to modify these Terms at any time. Material changes will be notified via:

  • Email to registered account address

  • In-app notification upon login

  • Notice posted on our website for at least 30 days

Continued use of the Service after changes constitutes acceptance of modified Terms. If you disagree with changes, your sole remedy is to cancel your subscription.

 

18. GENERAL PROVISIONS

 

18.1 Entire Agreement

These Terms, together with our Privacy Policy and any executed service agreements, constitute the entire agreement between you and Agen0.

 

18.2 Severability

If any provision is found unenforceable, remaining provisions continue in full force and effect.

 

18.3 Waiver

Failure to enforce any provision does not constitute a waiver of that provision or any other provision.

 

18.4 Assignment

You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

 

18.5 Force Majeure

We are not liable for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, pandemics, war, terrorism, internet outages, or third-party service failures.

 

18.6 Export Compliance

You agree to comply with all applicable export control and sanctions laws when using the Service.

18.7 Independent Contractors

Nothing in these Terms creates a partnership, joint venture, or employment relationship between you and Agen0.
